These Terms & Conditions ("Terms") govern your access to and use of the BluPrnts websites, applications, and the AI coordinator "Mia" (the "Service"), operated by BluPrnts, [Inc./LLC] ("BluPrnts," "we," "us"). By accessing or using the Service you agree to these Terms. Property Managers and Vendors are also subject to their separate agreements, which control for their respective relationships.

1. Eligibility

You must be at least 18 and able to form a binding contract. If you use the Service for an organization, you represent that you are authorized to bind it, and "you" includes that organization.

2. The Service

BluPrnts provides a property-maintenance coordination and dispatch platform. Mia helps collect requests, generate quotes, dispatch independent Vendors, and track jobs via SMS, voice, and web. BluPrnts coordinates and screens Vendors but does not itself perform repair or maintenance work; Vendors are independent contractors and are solely responsible for the work they perform.

3. Accounts

Some features require an account. You are responsible for accurate registration information, for safeguarding your credentials, and for activity under your account. Notify us promptly of any unauthorized use.

4. AI Disclosure

Mia is an automated AI assistant. Its responses, quotes, and summaries may be inaccurate or incomplete and are not professional, legal, financial, or safety advice. Do not rely on Mia for emergencies; for emergencies call 911 or the appropriate authority. Material actions are subject to your authorization, and human support is available.

5. SMS, Text, and Voice Communications

By providing a phone number and using the Service, you consent to receive calls and text messages (including from automated systems and AI) related to your requests, jobs, and account. Message frequency varies. Message and data rates may apply.

Reply STOP to opt out of non-essential texts and HELP for help. Opting out of operational/transactional messages may limit your ability to use the Service. Calls may be recorded or monitored for quality and records where disclosed and permitted by law. You represent that you are the subscriber or an authorized user of any number you provide, and that you have any consents required to provide third-party numbers (for example, tenants).

6. Payments

Paid features and Jobs are processed through a third-party processor (currently Stripe). You authorize charges to your payment method for amounts you approve. Fees, refunds, cancellations, and disputes are handled as disclosed at the point of sale and in the applicable PM or Vendor agreement. You are responsible for applicable taxes.

7. Acceptable Use

You will not: use the Service unlawfully or for unauthorized properties; submit false, infringing, or harmful content; interfere with, disrupt, or reverse-engineer the Service; scrape or harvest data; misuse the SMS/voice channels (including spam); or use the Service to harass or harm others.

8. User Content and Photos

You may submit photos, descriptions, and other content. You retain your rights and grant BluPrnts a worldwide, non-exclusive, royalty-free license to host, process (including AI analysis), display, and use that content to operate, secure, and improve the Service. You represent you have the rights and any consents needed for the content you submit.

9. Intellectual Property

The Service, including Mia, software, text, design, and trademarks, is owned by BluPrnts or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service per these Terms. No other rights are granted.

10. Third-Party Services

The Service relies on third parties (for example, Twilio/OpenPhone for SMS, VAPI for voice, Stripe for payments, and Anthropic for AI). Your use may also be subject to their terms. BluPrnts is not responsible for third-party services or content.

11. Privacy

Our Privacy Policy explains how we collect, use, and share personal information, including under the California Consumer Privacy Act (CCPA/CPRA). By using the Service, you acknowledge the Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE OR AI OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE, OR GUARANTEE ANY VENDOR'S WORK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUPRNTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE [3] MONTHS BEFORE THE EVENT OR $[100].

14. Indemnification

You will defend, indemnify, and hold harmless BluPrnts and its affiliates from third-party claims arising out of your use of the Service, your content, your violation of these Terms or law, or your violation of others' rights.

15. Termination

We may suspend or terminate your access at any time, including for violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive will survive.

16. Dispute Resolution; Arbitration; Class Waiver

PLEASE READ CAREFULLY — THIS AFFECTS YOUR RIGHTS. Except for small-claims matters and injunctive relief to protect IP/confidential information, disputes will be resolved by final and binding arbitration administered by [JAMS/AAA] before a single arbitrator seated in [County], California, under its rules. YOU AND BLUPRNTS WAIVE JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION to the maximum extent permitted by law.
